Position Summary/Description
Reporting to the Director Sponsored Research, the Agreements Officer will be responsible for drafting, reviewing and negotiating unfunded research-related agreements (data use, material transfer and collaboration agreements) in accordance with McGill’s guidelines and policies. As national research security considerations expand in the academic world and research at McGill is on a global scale, related requirements around security, data privacy, data/material sharing with partners in and outside of Canada are increasing. The Agreements Officer will be the primary point of contact in Vice-Principal (Research and Innovation) (VPRI) for unfunded agreements that may have a security or privacy component, with academic/not-for profit or private organizations. The Agreements Officer works closely with researchers, colleagues in the VPRI unit, in particular the Research Security and Compliance team, and other key McGill service units (Legal Services, IT Services, Research Ethics Boards, Risk Management and Insurance, etc.) as required.
Primary Responsibilities
  • Reviews and negotiates unfunded bi- or multi-party research agreements in all research disciplines, to ensure adherence to McGill policies and administrative procedures (i.e. intellectual property, publication rights, indemnification, University signing policy etc.).
  • Drafts or chooses appropriate agreement templates based on analysis of scope of collaborations/ agreements and projects.
  • Communicates with McGill researchers, their teams, and others as relevant to ensure understanding of needs for the proposed research, explain the requirements and applicable rules under a given agreement, and facilitate the contractual process.
  • Acts as the McGill representative to negotiate agreements’ terms and conditions with the other partner(s)’s contract/research office(s).
  • Identifies and mitigates risk issues, confers with unit staff as required in order to articulate alternatives and recommend solutions within scope of responsibility.
  • Liaises with Vice Principal (Research and Innovation)’s Research Security and Compliance team, McGill Legal counsel, and cybersecurity professionals in IT Services as applicable.
  • Stays current about regulations on privacy and related University policies impacting research data, works closely with Legal to establish best practices and procedures in that area.
  • Verifies, processes, and monitors agreements and ensures they are complete and accurate.
  • Records data concerning unfunded agreements into the unit’s InfoEd database to maintain contract-specific data and events within the designated portfolio.

Other Qualifying Skills and/or Abilities
DEC in Paralegal Technology or Certificate in Law, or equivalent education. Related experience with similar responsibilities in a research environment. Ability to work independently and within cross functional teams engaging people from multiple areas within McGill. Ability to work under pressure, strict deadlines and manage multiple priority workload. High level of accuracy and analytical skills. Excellent knowledge of Microsoft Office (Word, Excel and PowerPoint). Experience in solving legal questions using research and problem-solving skills. Excellent French and English language skills, written and spoken. Solid verbal and written communication skills. Excellent organizational and interpersonal skills. Demonstrates diplomacy, discretion and good judgment. Ability to be pro-active and take the leading role in negotiations with external clients. Bachelor of Law degree (no requirement to be a member of the Quebec Bar Association). A minimum of two (2) years’ experience in research contracts negotiation, preferably in a university environment
